By accessing or using the Website, you agree to be bound by these Terms. If you do not agree, please do not use the Website. These Terms govern website use only. If you engage us for YouTube channel management services, a separate Service Agreement will govern that relationship.

VividScale is a done-for-you YouTube content agency based in India, serving businesses globally. We provide strategy, scripting, editing, thumbnail design, publishing and optimization services for YouTube channels.

2. Use of the Website

You may use the Website for lawful purposes only. Our name, logo and branding are our proprietary marks. Nothing on this Website grants you any license or right to use them.

4. User Submissions

5. Third-Party Links and Services

We retain your personal data only for as long as necessary to fulfil the purposes for which it was collected. Website visitor analytics data is retained for 14 months (Google Analytics default). Contact form and inquiry data is retained for 2 years from last interaction, unless you become a client. Client service data is retained for the duration of the service agreement plus 7 years to comply with Indian tax and accounting requirements under the Income Tax Act, 1961 and GST law. Invoicing and payment records are retained for 7 years as required by Indian law. After the retention period, data is securely deleted or anonymized.

6. Results Disclaimer

Any case studies, testimonials, or results displayed on the Website are specific to those clients and their particular circumstances. Results vary based on numerous factors including the client’s niche, content quality, recording consistency, audience dynamics and YouTube algorithm behavior.

We do not guarantee any specific outcomes including but not limited to subscriber counts, view counts, watch time, revenue, CPM, sponsorship deals, or YouTube algorithm performance. YouTube’s platform, algorithm, policies and terms of service are entirely outside our control. Past performance does not indicate or guarantee future results.

7. Limitation of Liability

To the maximum extent permitted by applicable law, the Website and its content are provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We reserve the right to modify these Terms at any time. Changes will be effective when posted on the Website with an updated “Last Updated” date. Your continued use of the Website after changes are posted constitutes your acceptance of the modified Terms. We recommend checking this page periodically for updates.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles. Any dispute arising out of or in connection with these Terms shall first be attempted to be resolved through good faith negotiation. If the dispute cannot be resolved within thirty (30) days, it shall be referred to binding arbitration in accordance with the Indian Arbitration and Conciliation Act, 1996. The seat of arbitration shall be New Delhi, India. The language of arbitration shall be English. Nothing in this section prevents either party from seeking urgent injunctive relief from a court of competent jurisdiction.

13. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

14. Entire Agreement

These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and VividScale regarding your use of the Website. They supersede all prior agreements and understandings, whether oral or written, regarding the Website.
